ROCKY FAN LEAGUE PROMOTION — OFFICIAL TERMS & CONDITIONS

These Rocky Fan League Promotion Official Terms & Conditions (“Fan League Promotion Terms”) are a legal agreement between Rocky and you, a Creator (as defined in our Terms of Service), that is participating in our Rocky Fan League Promotion (“you” or “Participant”) via the platform owned and operated by Rocky (the “Platform”).
By using Rocky Dollars to draft certain Draft Picks (as defined below) through our Platform or by clicking “I AGREE,” or otherwise manifesting your assent to these Fan League Promotion Terms, you acknowledge that you have read, understood, and agree to be legally bound by these Fan League Promotion Terms, our Promotion Terms located at https://www.wearerocky.com/promotion-terms , our Terms of Service located at https://www.wearerocky.com/terms and our Privacy Policy located at https://www.wearerocky.com/privacy (collectively, this “Agreement”). If you do not agree to this Agreement, then please do not use the Platform. Our Terms of Service and Privacy Policy are incorporated herein by reference. Only with respect to this Rocky Fan League Promotion, if there is a conflict between our Terms of Service or Promotion Terms, on one hand, and these Fan League Promotion Terms, on the other, these Fan League Promotion Terms will govern.
You agree that: (i) the Fan League Promotion Terms will be interpreted and applied by Rocky at its discretion; (ii) all decisions made by Rocky are final and binding on you and all other participants; and (iii) Rocky may change the Fan League Promotion Terms at any time and from time to time in its sole discretion without notice to you. Your eligibility to win a Prize is conditioned on your full compliance with the Agreement.
Any terms capitalized and not defined herein have the meanings set forth in the Promotion Terms or our Terms of Service.
1. DESCRIPTION OF FAN LEAGUE PROMOTION
a)General Description. Through the Fan League Promotion, you may select or “draft” yourself (if you are an active Creator on the Platform) or other Creators on the Platform (each, a “Draft Pick”) through the Platform using the corresponding number of Rocky Dollars for such Creator as set forth on the Platform. In order to select or draft any Draft Pick you must have accrued and have available the required number of Rocky Dollars in your account on the Platform (your “Rocky Account”). During each Weekly Period, you may use up to 10 Rocky Dollars for the purpose of selecting or drafting Draft Picks in connection with this Fan League Promotion. If any Draft Pick drafted by you during the Promotion Period is ranked #1 on Rocky's Official Weekly Leaderboard (the “Leaderboard”) for the applicable Weekly Period, you are a Winner and shall be entitled to the applicable Prize set forth below, provided that you are in compliance with this Agreement.
b)Rocky Dollars. The Rocky Dollar is a virtual currency that you may earn through the Platform by performing certain activities (as set forth in more detail on the Platform, in the Promotion Terms and/or in our Terms of Service), which is not a substitute for real currency, does not earn interest, and has no equivalent value in real currency. Rocky Dollars cannot be redeemed for any real currency, and Rocky is not obligated to exchange any Rocky Dollars for anything else of value.
c)Rocky's Official Weekly Leaderboard. During each Weekly Period, Rocky ranks Creators via the Leaderboard based on the total combined Engagement Statistics related to: (i) all Eligible Content and (ii) all other User Generated Content that is reasonably relevant to any Brand, as determined by Rocky, and that complies with the Agreement, in each case that during the applicable Weekly Period is submitted and shared by such Creator to the Platform and via such Creator’s Rocky Account to Creator’s personal Instagram and Tik Tok accounts. As used herein, “Engagement Statistics” means the aggregate number of organic, third-party likes, saves, shares, and comments on Instagram and aggregate number of likes, shares, and comments on Tik Tok for the content set forth in 1(c)(i) and (ii) herein. The Leaderboard and the Engagement Statistics are based on publicly verifiable engagement data received from Instagram and TikTok. You may not and no Creator or third party may pay for engagement, artificially inflate reach, or engage in any activity intended to manipulate the Leaderboard. Engagement must be organic and generated by public and real users. Any evidence of artificial boosting of any content or engagement data will not count towards the Engagement Statistics and will lead to disqualification of the applicable content, Creator, and/or Participant and forfeiture of any Prize won as a result of any artificial boosting or non-organic engagement.
2. ELIGIBILITY
No purchase is necessary. To be eligible to participate in the Fan League Promotion, you agree that:
•You are a legal resident of a jurisdiction where participation is lawful;
•You are 18 years or older at the time of your participation;
•You have an active Rocky Account that is in good standing and in compliance with the Agreement;
•You have linked your Rocky Account to your own personal social media accounts on Tik Tok and Instagram; and
•To be eligible to draft any particular Draft Pick, you must have a sufficient number of Rocky Dollars available in your Rocky Account to do so.
Each Participant that meets all of the aforementioned requirements is referred to herein as an “Eligible Participant.” Rocky reserves the right to verify age and eligibility at any time and you agree to provide Rocky with any reasonable information requested by Rocky to confirm age and eligibility.
3. PROMOTION PERIOD
The Fan League Promotion begins on Monday, June 16, 2025 at 12:01 a.m. Eastern Daylight Time and Winners will be chosen on a weekly basis (each, a “Weekly Period”) until Sunday, July 13, 2025 at 11:59 p.m. Eastern Daylight Time (the “Promotion Period”). Each Weekly Period will begin on Monday at 12:01 AM ET and end on Sunday at 11:59 PM ET.
4. HOW TO ENTER
To enter this Fan League Promotion for the applicable Weekly Period, prior to the end of the applicable Weekly Period, each Eligible Participant may email us at picks@wearerocky.com with the following information: (a) Eligible Participant’s username for the Platform and (b) Eligible Participant’s Draft Picks using each such Draft Pick’s username on the Platform (each, an “Entry”). Eligible Participant must email us using the same email address that Eligible Participant used to register for its Rocky Account. Once the Entry is submitted in accordance with this Section 4, the amount of Rocky Dollars for the applicable Draft Picks (as set forth on the Platform) will be deducted from Eligible Participant’s Rocky Account. Each Eligible Participant may redeem up to 10 Rocky Dollars per each Weekly Period in connection with selecting such Draft Picks. The Draft Picks are valued based on the following tiers:
•Elite Creators: $10 – Elite Creators are those that have been ranked at or near the top of the Leaderboard consistently.
•Rising Star Creators: $5 – Rising Star Creators are Creators that have been ranked on the Leaderboard at different points in time, but have not performed or shared content as consistently as Elite Creators
•Wildcard Creators: $2 – Wild Card Creators are Creators that have submitted and shared eligible Content, but are not Elite Creators or Rising Star Creators.
Rocky may value and classify Creators in its sole discretion, and whether a particular Creator is classified as an Elite Creator, Rising Star Creator, or Wildcard Creator may differ from one Weekly Period to another Weekly Period. All Draft Picks are final. No refunds, edits, or transfers are permitted. You agree that Rocky is permitted to deduct the applicable Rocky Dollars from your account in the event that it receives an Entry from the email address sent from the email address associated with your Rocky Account. Rocky is not responsible or liable for any Entry submitted or sent from such email address, including but not limited to any Entry submitted in error. You may earn additional Rocky Dollars as set forth in on our Platform or as otherwise set forth in our Promotion Terms and/or Terms of Service.
5. CONTENT ELIGIBILITY
Only User Generated Content (including Eligible Content) that meets all of the following criteria will count toward Leaderboard rankings:
•Created and posted during the applicable Weekly Period;
•Is submitted in connection with an active Brand campaign and/or approved in writing by Rocky; and
•Complies with all terms of the Agreement, including but not limited to Rocky’s Promotion Terms and Terms of Service.
6. SELECTION OF WINNERS
During each Weekly Period, any Eligible Participant that has: (a) entered into this Fan League Promotion in accordance with these Fan League Promotion Terms, and (b) selected a Draft Pick during the applicable Weekly Period that is ranked #1 on the Leaderboard at the end of such Weekly Period, shall be a winner for such Weekly Period (each, a “Winner”). For the avoidance of doubt, no Draft Picks submitted during one Weekly Period will be considered in the selection of Winners for a different Weekly Period. If you’d like to submit a Draft Pick for another Weekly Period after the expiration of the current Weekly Period, you must enter this Fan League Promotion again by following the steps set forth in Section 4 above. For any Weekly Period, if there is more than Winner, Prizes shall be split equally among such Winners.
You agree that Leaderboard calculations are final and based solely on the Engagement Metrics provided to and made available to Rocky via TikTok and Instagram, and the data made available and the APIs used to provide such data may include latency, bugs, deficiencies, and/or errors, or may result in incomplete reporting. Rocky is not liable for any discrepancies or errors in any Engagement Metrics.
7. PRIZE DISTRIBUTION
During each Weekly Period, each Winner will be entitled to a prize equal to a portion of the Prize Pool as set forth below (the “Prize”). If there is no Winner for the applicable Weekly Period, the Prize Pool for such Weekly Period will “roll over” and be added to the Prize Pool for the next Weekly Period. For each Weekly Period, the Prize Pool will be equal to the sum of: (a) the total number of Rocky Dollars submitted by Eligible Participants in accordance with this Agreement during the applicable Weekly Period plus (b) the total number of Rocky Dollars submitted by Eligible Participants in accordance with this Agreement during the previous Weekly Period, provided that there was no Winner during the previous Weekly Period. During each Weekly Period, Prize Pool shall be allocated as follows:
•55% of the Prize Pool for such Weekly Period shall be equally split between all Winners for such Weekly Period;
•25% of the Prize Pool shall be equally split between all Creators that are ranked #1 on the Leaderboard for such Weekly Period; and
•20% of the Prize Pool shall be retained by Rocky.
The amount of Rocky Dollars provided to Winners as a Prize and awarded to any Creator as set forth in this Section 7 will be added to such Winner’s and/or Creator’s Rocky Account and may only be used within the Platform for the purposes permitted on the Platform, unless otherwise permitted by Rocky in writing. Rocky reserves the right to adjust Prize and/or Prize Pool amounts and/or disqualify any Winner, Creator, or Participant in the case of errors, fraud, Platform manipulation, manipulation of performance metrics or Engagement Statistics, and/or any breach of the Agreement.
8. PLATFORM DATA & API DEPENDENCIES
Rocky’s Leaderboard relies on data provided by third-party APIs (e.g., TikTok and Instagram). We make no guarantee of and have no liability related to the accuracy or availability of these third-party’s services or the data provided through or by such third-party. By participating, each Participant acknowledges that Rocky is not responsible for any data inaccuracies, data availability, outages, or API availability or changes that may impact results or this Fan League Promotion or Prize eligibility.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Rocky shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of earnings, lost profits, missed opportunities, or reputational harm arising from or related to participation in the Fan League Promotion.
Rocky is not responsible or liable for any delays, failures, errors, losses, damages, miscalculations, or miscommunications caused indirectly or directly by: (a) any API issue, (b) any third party including by any social media provider, (c) network connectivity issues, (d) account linking errors, or (e) fraud, abuse, negligence or any breach of the Agreement or any portion thereof by any Creator or any other third party. Rocky does not guarantee any specific Prize, outcome, or earnings from participating in the Rocky Fan League. You acknowledge that participation is for entertainment and promotional purposes only and that your ability to earn rewards is contingent upon multiple variables outside of Rocky’s control, including but not limited to Platform availability, API performance, and data provided by social media providers.
10. INDEMNIFICATION
You agree to indemnify and hold harmless Rocky, its affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of: (a) your violation of this Agreement; (b) your misuse of the Platform; and/or and (c) your breach of any applicable laws or rights of any third party.
11. FORCE MAJEURE
Rocky will not be held liable for any failure to perform due to circumstances beyond its reasonable control, including but not limited to system failure or downtime, natural disasters, cyberattacks, network availability, and/or Instagram or TikTok platform access, availability or policies.
12. MODIFICATIONS & TERMINATION
Rocky may modify or terminate the Fan League Promotion, including the contest structure, timing, or Prize pools, at any time with or without notice. All decisions made by Rocky hereunder are final and binding.
13. LEGAL GOVERNANCE
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
Any disputes shall be resolved exclusively in the state or federal courts located in New York. YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF, OR CONNECTED WITH, THE PROMOTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.
14. ADDITIONAL RULES OF PARTICIPATION
•You agree that you will not use bots, third-party engagement boosters, duplicate accounts, multiple accounts controlled by you or any other means to artificially boost engagement with your or any third-party’s content
•You agree that you will not submit off-topic or ineligible content, or content owned by or licensed-in from any third party.
•You agree that you will not share accounts on the Platform with any other person and you will not enter the Fan League Promotion multiple times using false identities or multiple Rocky Accounts.
•You agree that during your participation in the Fan League Promotion you will maintain a valid, Instagram or TikTok account that is personal to and controlled by you and such account will be properly linked to your Rocky Account
•You will comply with all terms and conditions applicable to Instagram and Tik Tok.
Rocky reserves the right to ban or restrict you or any other party for violating any terms of this Agreement.

16. TERMS MAY BE UPDATED
These Fan League Promotion Terms may be updated, modified, or amended at any time at Rocky’s sole discretion. Continued participation in the Fan League Promotion after any changes have been posted constitutes acceptance of those changes. The most current version of the Terms are available at https://www.wearerocky.com/fanleague-terms
